Terms and Conditions

Effective May 9, 2026. These Terms and Conditions govern access to and use of 11th Hour, including the application, website, APIs, assistant features, matching tools, inbox, profiles, project pages, and related services.

1. Agreement

By accessing or using 11th Hour, you agree to these Terms and our Privacy Policy. If you use the services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services.

2. Eligibility and Accounts

You must be at least 13 years old and legally able to enter into these Terms. You are responsible for your account, credentials, profile information, and all activity under your account. Keep account information accurate and current, and notify us if you suspect unauthorized access.

3. The Services

11th Hour helps contributors, project owners, and ecosystem participants discover projects, describe capabilities, record proof signals, match with opportunities, and coordinate follow-up conversations. We may change, suspend, limit, or discontinue features at any time. We do not promise that every project, profile, proof, recommendation, or message will remain available indefinitely.

4. User Content

You retain ownership of content you submit, including profile details, project descriptions, links, proof records, messages, prompts, and feedback. You grant 11th Hour a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, process, adapt, transmit, and use your content as needed to operate, secure, improve, and provide the services.

You represent that you have the rights needed to submit your content and that it does not violate law, contract, intellectual property rights, privacy rights, or these Terms. We may remove or restrict content if we reasonably believe it violates these Terms, creates risk, or may harm the services or users.

5. AI and Matching Outputs

The services may generate matches, summaries, project recommendations, capability inferences, and other AI-assisted outputs. Outputs may be incomplete, outdated, or inaccurate. You are responsible for reviewing outputs before relying on them, contacting another user, joining a project, making hiring decisions, or taking financial, legal, technical, or business action.

6. Acceptable Use

You agree not to:

  • misrepresent your identity, qualifications, project ownership, proof records, or affiliations;
  • submit content you do not have permission to share;
  • harass, threaten, exploit, discriminate against, or spam other users;
  • scrape, crawl, harvest, or bulk export data except through interfaces we expressly provide;
  • reverse engineer, interfere with, overload, or bypass security controls for the services;
  • upload malware, secrets you are not authorized to share, or unlawful content;
  • use the services to make automated decisions with legal or similarly significant effects without appropriate human review and compliance controls;
  • violate export controls, sanctions, privacy, intellectual property, anti-spam, or other applicable laws.

7. Third-Party Services

11th Hour may link to or integrate with third-party services, including authentication, hosting, database, AI, analytics, social, repository, and communication providers. We are not responsible for third-party services, content, policies, or practices. Your use of third-party services may be governed by separate terms.

8. Intellectual Property

11th Hour and its software, design, branding, workflows, and service materials are owned by 11th Hour or its licensors and are protected by intellectual property laws. Except for rights expressly granted in these Terms, no rights are transferred to you. Feedback may be used by us without restriction or compensation.

9. Paid Features

If paid features are offered, prices, billing periods, taxes, renewal terms, cancellation rules, and refund terms will be disclosed at purchase or in a separate order form. You authorize us and our payment providers to process charges for purchases you make.

10. Termination

You may stop using the services at any time. We may suspend or terminate access, remove content, or limit functionality if you violate these Terms, create legal or security risk, or misuse the services. Sections that by their nature should survive termination will survive, including ownership, licenses, disclaimers, liability limits, indemnity, and dispute terms.

11. Disclaimers

The services are provided “as is” and “as available.” To the maximum extent permitted by law, 11th Hour disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted or error-free operation. We do not guarantee any match, collaboration, employment, funding, contribution, commercial result, or project outcome.

12. Limitation of Liability

To the maximum extent permitted by law, 11th Hour will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, business interruption, or substitute services. To the maximum extent permitted by law, our aggregate liability for all claims relating to the services will not exceed the greater of USD $100 or the amount you paid to 11th Hour for the services in the three months before the event giving rise to the claim.

13. Indemnity

You will defend, indemnify, and hold harmless 11th Hour and its affiliates, officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from your content, use of the services, violation of these Terms, or violation of law or third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming and applicable United States federal law, without regard to conflict-of-law rules. Unless applicable law requires otherwise, the state and federal courts located in Wyoming will have exclusive jurisdiction and venue for disputes arising from or relating to these Terms or the services, and you consent to those courts.

15. Changes

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Changes are effective on the stated effective date, and continued use after that date means you accept the updated Terms.
